Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and other products and services offered by ASKForge Software LLC ("ASKForge," "we," "us," or "our") that link to these Terms (collectively, the "Services"). Please read them carefully.

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you may not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement and that the information you provide to us is accurate and complete.

2. The Services

ASKForge Software LLC operates as an umbrella company that may offer multiple products and services. These Terms apply to each Service that links to them. Individual products may have additional or supplemental terms; where supplemental terms conflict with these Terms, the supplemental terms control for that product. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Accounts

Some features require an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly of any unauthorized use of your account. We are not liable for losses arising from your failure to safeguard your credentials.

4. Acceptable Use

You agree not to, and not to permit others to:

• use the Services in violation of any applicable law or regulation;
• infringe the intellectual property, privacy, or other rights of others;
• upload or transmit malware, or otherwise interfere with or disrupt the integrity or performance of the Services;
• attempt to gain unauthorized access to the Services or related systems or networks;
• reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law;
• use the Services to send unsolicited communications or to harass, abuse, or harm others; or
• misrepresent your identity or affiliation, or use the Services for any fraudulent or deceptive purpose.

We may investigate and take appropriate action, including suspending or terminating access, against anyone who violates these Terms.

5. User Content

The Services may allow you to submit, upload, or create content ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant ASKForge a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting and display), and use that content solely as necessary to operate, provide, and improve the Services.

You represent that you have the rights necessary to submit your User Content and that it does not violate these Terms or any applicable law. We may remove User Content that we believe violates these Terms, but we are not obligated to monitor User Content.

6. Intellectual Property

The Services, including all software, text, graphics, logos, and other materials (other than User Content), are owned by ASKForge Software LLC or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. All rights not expressly granted are reserved.

7. Third-Party Services

The Services may link to or integrate with third-party websites, products, or services that we do not control. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms and policies.

8. Fees & Payment

Certain Services may be offered for a fee. If you purchase a paid Service, you agree to pay all applicable fees and taxes as described at the time of purchase. Fees are billed through our third-party payment processors. Unless otherwise stated or required by law, fees are non-refundable. We may change our fees on a prospective basis with reasonable notice.

9. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Services ends. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will survive.

10. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. ASKForge does not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any content is accurate or reliable.

11. Limitation of Liability

To the maximum extent permitted by law, ASKForge Software LLC and its members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Services.

To the maximum extent permitted by law, the total aggregate liability of ASKForge for all claims relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the event giving rise to the liability, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless ASKForge Software LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms or applicable law.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Tennessee, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Putnam County, Tennessee, and you consent to the personal jurisdiction of those courts, except where prohibited by applicable law.

Before filing a claim, you agree to first contact us to attempt to resolve the dispute informally. To the extent permitted by law, any claim must be brought within one year after it arises.

14. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update takes effect constitutes your acceptance of the revised Terms.

15. General

These Terms, together with the Privacy Policy and any supplemental terms, constitute the entire agreement between you and ASKForge regarding the Services. If any provision is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
